1. Acceptance of Terms

By accessing or using the Sklin Club website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legal agreement between you and Sklin Club.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to both you as an individual and the organization.

2. Definitions

In these Terms, the following definitions apply:

• "Account" means the account created by a User to access and use the Services.
• "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
• "Event" means any workshop, performance, exhibition, or gathering organized or facilitated by Sklin Club.
• "Membership" means a paid subscription that provides access to specific benefits and features of the Services.
• "Services" means all products, services, content, features, technologies, or functions offered by Sklin Club.
• "User" means an individual who accesses or uses the Services.
• "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

3. Account Registration and Use

3.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

Unless otherwise indicated, the Services and all Content provided by Sklin Club are owned by us or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services or Content.

4.2 User Content

By submitting User Content to the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and our business operations, including for promoting and redistributing part or all of the Services.

You represent and warrant that you own or have the necessary rights to submit User Content and that the User Content does not violate the rights of any third party or any applicable law or regulation.

4.3 Content Guidelines

You agree not to post User Content that:

• Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party

• Impersonates any person or entity or falsely states or misrepresents your affiliation with a person or entity

We reserve the right to remove any User Content that violates these guidelines or these Terms, at our sole discretion.

4.4 Feedback

If you provide us with any feedback or suggestions regarding the Services, you hereby assign to us all rights in such feedback and agree that we have the right to use and fully exploit such feedback without any payment or other obligation to you.

5. Membership and Subscription Terms

5.1 Membership Options

Sklin Club offers various membership tiers with different benefits and pricing. Current membership options and benefits are described on our website. We reserve the right to modify, add, or remove membership tiers and benefits at any time.

5.2 Fees and Payment

Membership fees are stated on our website and are subject to change with notice. By subscribing to a membership, you authorize us to charge the applicable membership fee to your designated payment method. All fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable law.

5.3 Automatic Renewal

Memberships automatically renew for successive periods equal to the initial subscription period unless canceled before the renewal date. You may cancel your membership at any time through your Account settings or by contacting customer service.

5.4 Membership Termination

We reserve the right to terminate or suspend your membership at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other Users, to us, or to third parties. In case of such termination, you will not be entitled to a refund of any fees paid.

6. Event Participation

6.1 Event Registration and Tickets

Registration for events may require payment of fees, which are stated at the time of registration. By registering for an event, you agree to pay the applicable fee. Tickets for events are non-transferable unless expressly permitted.

6.2 Event Policies

Participation in events is subject to specific event policies, which may include attendance requirements, dress codes, equipment needs, or conduct guidelines. These policies will be communicated at the time of registration or before the event.

6.3 Event Cancellation and Changes

We reserve the right to cancel, postpone, or modify events due to unforeseen circumstances, insufficient registration, or other factors. In case of cancellation by Sklin Club, registered participants will be offered a refund or credit toward future events, at our discretion.

If you cancel your registration, refund eligibility will be determined according to our Refund Policy.

6.4 Recordings and Photography

By participating in our events, you consent to being photographed, filmed, or recorded, and you grant us the right to use your likeness, voice, and statements in any media for promotional, educational, or documentary purposes without compensation or prior notice.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable law, regulation, or these Terms
• Using the Services for any illegal purpose or to promote illegal activities
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services
• Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure
• Uploading invalid data, viruses, worms, or other software agents through the Services
• Collecting or harvesting any personally identifiable information from the Services
• Using the Services for any commercial solicitation purposes without our prior written consent
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
• Interfering with the proper working of the Services
• Circumventing, disabling, or otherwise interfering with security-related features of the Services

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY OR COMPLETENESS OF THE CONTENT ON THE SERVICES OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKLIN CLUB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKLIN CLUB ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

• ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT
• PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY
• ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SKLIN CLUB IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED EUROS (€100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sklin Club, its affiliates, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

11. Termination

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your Account, you may simply discontinue using the Services or contact us to request Account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
